Please read our terms and conditions carefully. By signing up to the services offered by GigB GmbH, Hamburg, you are agreeing to these terms and conditions. Please make sure you as well read our privacy policy, as agreeing to the terms and conditions you are agreeing you have read and agreed to the privacy policy.

Acceptance of Terms and Conditions
By accessing or using our services as provided on gigbapp.com and gigb.de ("the App" or “GigB”), you agree to be bound by these Terms and Conditions ("Terms"). These Terms constitute a binding agreement between you and GigB GmbH, Hamburg, governing your use of the App. If you do not agree to these Terms, you may not use the App.

Description of Service
GigB is a software as a service (SaaS) app that allows B2C and B2B clients to manage projects, including but not limited to artistic projects such as bands, performing groups, theatres etc.. The App may be accessed through various devices including but not limited to desktop computers, laptops, tablets, and smartphones.

Use of the App
You must be at least 18 years of age to use the App. By using the App, you represent and warrant that you are at least 18 years old. You agree to use the App only for lawful purposes and in accordance with these Terms.

Registration and Account Creation
In order to use certain features of the App, you may be required to create an account and provide certain information about yourself as prompted by the App's registration form. You represent and warrant that all information you provide to us is true, accurate, and complete, and you agree to keep your account information up-to-date and accurate.

Payment
Certain features of the App may require payment of fees. If you choose to purchase these features, you agree to pay all applicable fees and any taxes associated with your use of the App. We reserve the right to change our fees at any time, and you will be notified in advance of any fee changes. We have teamed up for all payment processing services with a third party called Stripe Payments Europe Limited. In order to use the payment processing services, you will also need to enter into a separate relationship directly with Stripe, at the point when you register for a premium GigB account or any paid features within the App, and on the following terms which apply in addition to these Terms of Use: https://stripe.com/gb/connect-account/legal.

You are responsible for Stripe fees, GigB fees, refunds, disputes, fraudulent payments, and chargebacks. GigB will only facilitate creating your Stripe account and providing a payment gateway. It is your responsibility to check the amount being charged to the client is correct and providing any proof of payment documentation they may need.

Intellectual Property
The App and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio) are owned by GigB GmbH, Hamburg, its licensors, or other providers of such material and are protected by European Union and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

All trademarks, logos, service marks, and trade names displayed on the App are registered and unregistered trademarks of GigB GmbH, Hamburg, its affiliates, or their respective owners. You may not use these trademarks without the prior written consent of the owner.

You acknowledge and agree that all right, title, and interest in and to the App, including all intellectual property rights, are and shall remain the exclusive property of GigB GmbH, Hamburg or its licensors. You shall not take any action to jeopardize, limit, or interfere in any manner with GigB's or its licensors' ownership of or rights with respect to the App.

GigB Features and Contents: Contracts, Quotes and Invoices
GigB will only facilitate the creation of contracts, quotes and invoices, providing a signature gateway and creating a PDF of the signed documents. It is your responsibility to check the legality of your agreements and/or documents and the security method we use to sign contracts. GigB cannot and will not be held liable for any loss or damage due to an invalid agreement or document.

Up-to-dateness of our App and Website
We aim to update the App and it’s contents regularly, and may change functionalities or contents at any time. If the need arises, we may suspend access to the app or our websites, or close them indefinitely. Any of the material or tools on the App may be out of date at any given time, and we are under no obligation to update such material.

Our liability
The materials and tools displayed on the App are provided without any guarantees, conditions or warranties as to its accuracy. In no event will GigB or its suppliers be liable for any loss of use, lost or inaccurate data, interruption of business, lost profits, costs of delay, reputational harm, or any indirect, special, incidental, cover, reliance or consequential damages of any kind however caused, even if informed in advance of the possibility of these damages.

Viruses, hacking and other offences
You must not misuse the App by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. You must not attempt to gain unauthorised access to the App, the server on which the App is stored, or any server, computer or database connected to the App or our websites. You must not attack the App via a denial-of-service attack or a distributed denial-of service attack.
By breaching this provision, you would commit a criminal offence. We will report any such breach to the relevant law enforcement authorities, and we will co-operate with those authorities by disclosing your identity to them. In the event of such a breach, your right to use the App will cease immediately.

We will not be liable for any loss or damage caused by a distributed denial-of-service attack, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the App or our websites or to your downloading of any material posted on it, or on any website linked to it.

Privacy Policy
We respect your privacy and are committed to protecting your personal information. Our Privacy Policy, which is incorporated into these Terms, describes the information we collect from you and how we use and share that information.

Cookies
By signing up to the App you are agreeing to us storing cookies. Cookies are important for you using the App. Cookies are used for security and personal reasons only. We only ever view our own cookies.

Termination
We reserve the right to terminate your access to the App at any time, with or without cause, with or without notice, effective immediately. Upon termination, your right to use the App will immediately cease.

Changes to this Document
GigB GmbH, Hamburg reserves the right to change this document at any point without written notice. Wherever possible we will give two-week’s notice of any changes of this document and will communicate those changes with our users via email.

Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of Germany. Any legal suit, action, or proceeding arising out of or related to these Terms or the App shall be instituted exclusively in the federal or state courts located in Hamburg, Germany, and you waive any objection to jurisdiction and venue in such courts.

Entire Agreement
These Terms and our Privacy Policy constitute the entire agreement between you and GigB with respect to the use of the App and supersede all prior or contemporaneous communications and proposals, whether oral or written, between you and GigB GmbH.
